By using any part of SubTrack's services, you acknowledge that you have read these Terms of Service (“Terms”) and agree to them. If you do not agree, you may not use the service. These Terms apply to all users, including visitors, registered users, pilot participants, and subscribers.

SubTrack provides construction management software that enables:
- Labor, equipment, and material (“LEM”) tracking and submittal management
- Project monitoring and financial workflows
- Time tracking and safety reporting
- Document management and data storage
- Multi-crew and operations support
- API access for business integrations
- Additional features delivered as the service evolves
2.1 Beta and Pilot Services
SubTrack offers select beta and pilot versions that provide pre-release features, standards, and services to early adopters before general availability.
2.2 Beta and Pilot Terms
- Subject to change in features, pricing, timelines, and availability
- Often provided with limited service-level agreements
- May not have the same reliability or uptime as general release versions
- You agree to provide feedback and accept the service's limitations

3. User Accounts
3.1 Account Creation
When you register, you agree to:

- Maintain and promptly update that information
- Protect your account credentials and notify us of unauthorized use
- Accept responsibility for activity carried out under your account
SubTrack may suspend or terminate access, at its sole discretion, when the account is used in a way that violates these Terms.

- Your use of third-party services is governed by their own terms, which are independent of these Terms

5. Fees and Payment

Subscription fees are charged on a monthly or annual basis. Current pricing is posted on our website. Pricing changes apply to new subscription terms and renewals.
5.2 Refunds
A 14-day money-back guarantee is available for new subscriptions. Refunds outside of that window are handled on a case-by-case basis, subject to applicable consumer protection laws.
5.3 Late Payments
Accounts with unpaid balances may be suspended until payment is received. Continued non-payment may result in account termination.

- You can export data while your account remains active
- Service availability is subject to maintenance and the terms of this agreement
6.3 Data Retention After Termination
- Upon cancellation, we retain records for a short grace period of up to 90 days
- After 90 days, data may be permanently deleted
- Some business records may be retained longer to satisfy legal or accounting obligations
7. Authorized Access and Automated Use
- Automated access to SubTrack is permitted through documented APIs and SubTrack-provided tools
- Unauthorized scraping, crawling, or automated collection of data is prohibited
- Automated access is subject to rate limits, quotas, and fair-use restrictions
8. Security Practices
SubTrack maintains industry-standard security practices to protect platform data, including transport-level encryption, controlled access to production systems, and regular review of our infrastructure providers. We require external partners to meet comparable security standards.
9. Service Availability
SubTrack aims to keep the platform available, but the service may be unavailable from time to time due to scheduled maintenance, updates, or circumstances outside of our control. We will communicate material outages and planned downtime when reasonably possible.
10. API Access and Limitations
- API access is provided subject to quotas, rate limits, and fair use
- We may limit or restrict API access when necessary to protect the service
- Excessive abuse may result in API access being suspended
- API functionality may change with reasonable notice

The SubTrack platform, including software, content, trademarks, and proprietary documentation, is owned by SubTrack and is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy or use this content in any manner not expressly permitted.
13. Limitation of Liability
- SubTrack provides the service “as is” with no warranties, express or implied
- SubTrack will not be liable for indirect, consequential, or incidental damages
- Our maximum liability will not exceed the amount paid by you to SubTrack in the prior 12 months

You agree to indemnify and hold SubTrack harmless from any claims arising from your use of the services, violation of these Terms, or infringement of third-party rights.
15. Modifications to the Service
We reserve the right to modify or discontinue the service with reasonable notice. We will make reasonable efforts to communicate material changes in advance.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of Delaware, United States, without regard to its conflict of law principles. Any disputes will be resolved through binding arbitration, subject to applicable law.
